Terms of Sale

These Terms of Sale (the "Terms of Sale") govern the subscription to and supply of paid subscriptions to the Cygon software published by INSPYRSTUDIO. They supplement the Terms of Use, to which they refer for everything concerning the use of the Services. In the event of a conflict on a strictly financial matter (price, payment, term, renewal, cancellation, refund), these Terms of Sale prevail.
Please read them together with our Refund Policy, our Terms of Use and our Privacy Policy.
1. Who you are contracting with
1.1 Publisher and supplier of the Services
Cygon is published, operated and supplied by:
INSPYRSTUDIO, a simplified joint-stock company (société par actions simplifiée, SAS) with a share capital of €80,000, registered with the Chambéry Trade and Companies Register under number 101 208 809, registered office at Savoie Technolac, 19 boulevard Mer Caspienne, 73370 Le Bourget-du-Lac, France.

INSPYRSTUDIO provides the Cygon service itself: it develops it, hosts it, maintains it and is responsible for its availability and conformity, under the conditions set out in the Terms of Use.
1.2 Merchant of record (Paddle)
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Concretely, this means that Paddle (Paddle.com Market Limited, or Paddle.com Inc. for customers located in the United States) sells the Subscription to you, collects payment, applies and remits the applicable taxes, issues the corresponding invoice and processes refunds. Your purchase is therefore also subject to Paddle's Buyer Terms, available at paddle.com/legal/buyer-terms, and to Paddle's Refund Policy.
Where these Terms of Sale state that we do something in relation to payment, invoicing or refunds, we do it through Paddle and instruct Paddle accordingly.
1.3 Subscriptions taken out before the migration to Paddle
Subscriptions taken out before our migration to Paddle continue to be processed by our previous payment provider, Stripe (Stripe Payments Europe, Ltd), until they are migrated to Paddle. Affected customers are informed by e-mail before their subscription is migrated. The present Terms of Sale apply to them in the same way, except that, until migration, payment, invoicing and refunds are handled through Stripe rather than Paddle.
2. Purpose and plans
Cygon is offered under a "freemium" model. The plans currently offered are:
- Starter — free — access to the layout engine, without export.
- Student — free, subject to valid proof of student status — full access to Cygon.
- Accessibility, Standard and Believer — paid — full access to Cygon.
The three paid plans unlock exactly the same features and differ only in price. INSPYRSTUDIO deliberately offers several prices for the same service in order to take account of everyone's situation: each person freely chooses the plan that fits their reality.
The features included in each plan are described on cygon.tech/pricing, which forms an integral part of these Terms of Sale. We may add features to a plan at any time. We will not remove a material feature from a paid plan during a period you have already paid for.
The Student plan is reserved for persons providing valid proof of student status. We may request proof at any time and suspend or downgrade access where valid proof is not provided.
Important — use of your creations on free plans. Free plans, including the Student plan, are governed by Article 8.3 of the Terms of Use, under which creations produced while on a free plan are subject to a licence allowing us to reuse them, including to train models. Paid plans are not subject to this licence: we do not reuse creations produced while a paid Subscription is active. See also Article 8.3 below.
3. Prices, currency and taxes
Where prices are published. The prices of the paid plans, for each billing frequency, are those displayed on cygon.tech/pricing at the time you subscribe. They are not reproduced in this document so that they can be kept accurate at all times. The price applicable to your Subscription is the one displayed and confirmed to you at checkout before you commit to pay.
Currency. Prices are displayed and charged in the currency shown at checkout. Where several currencies are available, the currency applied is the one displayed to you at the time of subscription.
Taxes. Sales tax, VAT or any equivalent tax is determined by Paddle according to your place of residence or establishment, and is applied and remitted by Paddle as merchant of record. The exact amount payable, including any tax, is displayed to you at checkout before you commit to pay, and is broken down on your invoice. Business customers may be able to provide a valid VAT or tax registration number at checkout, where the applicable rules allow.
Annual billing. Annual billing is offered at a lower effective monthly rate than monthly billing. The applicable annual rate is displayed on cygon.tech/pricing. This is a structural characteristic of annual billing, not a promotional discount within the meaning of Article 5.
Invoices. Invoices are issued electronically by Paddle as merchant of record, and are available to you from paddle.net and by e-mail.
4. Subscribing and paying
4.1 How a subscription is formed
Subscription is carried out online from cygon.tech/pricing. You select your plan, your billing frequency (monthly or annual) and, where applicable, enter a promotional code. Before confirming, you are shown the details of your order and the total amount payable, and you can correct any error.
The contract is formed when you accept these Terms of Sale and the Terms of Use (dedicated checkboxes) and your payment is validated. A confirmation e-mail summarising your order and the applicable terms is sent to you without undue delay. We keep a record of the order in electronic form.
4.2 Payment
Subscriptions are payable in advance, by payment card or any other means offered at checkout:
- monthly billing: charged on subscription, then on each monthly renewal date;
- annual billing: the full year is charged on subscription, then on each annual renewal date.
Payment card data is entered directly with Paddle and is never stored or processed by INSPYRSTUDIO. Paddle is certified to the PCI-DSS (Payment Card Industry Data Security Standard), the security standard applicable to payment data. The processing of payment data is detailed in our Privacy Policy.
If a payment fails (insufficient funds, expired or blocked card, and so on), the payment may be re-presented. If payment is still not received, access to the paid features may be suspended until the situation is regularised. Suspension for non-payment does not extend the term of the Subscription.
4.3 Information we send you about your Subscription
So that you always know what you are paying for, we and Paddle provide you with the following, at subscription and on an ongoing basis: the fact that you have taken out a recurring subscription, the plan subscribed and the billing frequency, the start date, the recurring amount and the next payment date, and a link allowing you to update your payment method or cancel your Subscription. Before each annual renewal, we send you a reminder by e-mail in reasonable time so that you can cancel before you are charged if you no longer wish to renew.
5. Discounts, promotional codes and offers
We run several discount mechanisms. This Article sets out the rules that govern them. The rates, durations and eligibility windows of each offer are published on Privacy Policy and on the page dedicated to the offer concerned, and are not reproduced here so that they remain accurate. The terms applicable to your Subscription are those published at the time you subscribe and confirmed to you at checkout.
5.1 Categories of benefit
Three categories exist, and they behave differently:
- Lifetime benefit (Insider). Reserved for identified members of the Cygon Insider programme. It is attached to the account, is permanent, survives changes of plan and periods during which the Subscription is stopped and then resumed, is calculated on the renewal price in force at each renewal (it is not fixed on the initial price), and is reactivated automatically if you cancel and later resume.
- First-period benefits (Insider first-period enhancement, referral code, launch offer). These apply for a limited initial period, then the Subscription continues at the applicable price. They can be used once and are not replayed.
- Structural annual rate (Article 3). This is not a promotional discount. It applies independently of this Article.
5.2 Rules on combining
- The lifetime Insider benefit combines with the structural annual rate and, during the initial period, with the applicable first-period benefit. Where an offer states a total rate for the initial period, that total is inclusive of the lifetime benefit rather than added to it. The total rate applied is always the one published for the offer and confirmed at checkout.
- First-period benefits are mutually exclusive. Only one applies at any given time; they are never stacked. If more than one code could apply, the benefit most favourable to you is applied.
- After the initial period, the lifetime Insider benefit remains and applies as the sole promotional benefit, in addition to the structural annual rate where annual billing is chosen.
5.3 Duration and reference period
Where a benefit is expressed by reference to a period ("first year", "first months", "for life"), a year means twelve (12) consecutive calendar months from the subscription date, and a month means one calendar month from that same date.
5.4 Referral codes
- A referral code entitles the referred person to a first-period benefit only. It does not confer Insider status and therefore confers no lifetime benefit.
- A referral code may be used once, by a person who is not already a paying subscriber, and cannot be applied retroactively to an existing Subscription.
- Self-referral is not permitted.
- A referral code remains valid even if the referrer cancels their own Subscription, and expires at the end of the validity period published with it.
- A referral code cannot be combined with another first-period benefit.
5.5 Limited offers
Some offers are limited in time, in number of subscriptions, or both. Where an offer is limited in number, the count is based on paid subscriptions actually taken out, not on accounts created, and our records of that count are determinative. Once the published limit is reached or the published period has ended, the offer closes and subsequent subscriptions are taken out at the applicable price.
5.6 Effect of changes during the Subscription
- Changing plan or billing frequency during the initial period ends the current first-period benefit, except for the lifetime Insider benefit, which persists.
- At each renewal, the lifetime Insider benefit is calculated on the renewal price in force at that date.
5.7 Eligibility and prevention of abuse
We may verify eligibility for any benefit, in particular Insider or student status, before or after it is applied, and may withdraw any benefit obtained by abuse or fraud, in particular the creation of multiple accounts, the resale or public sharing of a code, or a false declaration of status. The principle is one benefit per person.
6. Term, renewal and changes
6.1 Term and automatic renewal
The Subscription is taken out for the billing period you choose (monthly or annual) and renews automatically for successive periods of the same duration, until cancelled in accordance with Article 7. You can see your next renewal date and cancel at any time, as described in Article 4.3 and Article 7.
6.2 Changes to these Terms of Sale
We may amend these Terms of Sale. Any change is notified to you by e-mail, setting out what is changing. For a Subscription in progress, the change takes effect at the earliest at your next renewal. If you do not accept the change, you may cancel your Subscription before it takes effect; your Subscription then ends at the end of the current period.
6.3 Price changes
Any change to the price of a Subscription in progress is notified to you in reasonable time before it takes effect, which occurs at the earliest at your next renewal. If you do not accept the new price, you may cancel your Subscription before it takes effect. A lifetime benefit already acquired continues to apply, calculated on the new renewal price.
7. Cancellation and refunds
7.1 Cancelling
You may cancel your Subscription at any time, from your customer area on cygon.tech or from <a href="https://paddle.net">paddle.net</a>, in a few steps and free of charge. We confirm receipt of your cancellation and its effective date.
Cancellation stops future charges. You keep access to the paid features until the end of the period you have already paid for, at no further cost. Cancelling does not by itself trigger a refund of the current period; refunds are governed by Article 7.3 and by our Refund Policy.
7.2 Cancellation by us
We may terminate a Subscription if you breach the Terms of Use or these Terms of Sale, under the conditions of Article 16 of the Terms of Use (reasoned notice and a 30-day cure period, except in the case of serious breach), or in the case of persistent non-payment. Except where termination is due to your fault, we refund the unused portion of the period you have paid for, on a pro rata basis.
7.3 Refunds
You may request a full refund of any charge, without having to give reasons, within fourteen (14) days of that charge. This applies both to your initial subscription charge and to each renewal charge. The procedure, the exceptions and the practical details are set out in our Refund Policy, which forms an integral part of these Terms of Sale. Refunds are processed by Paddle as merchant of record.
7.4 What happens to your creations
Your creations remain yours. When a Subscription ends, or if you move to a free plan, you keep access to your projects and can continue to build; you lose the ability to export for as long as you do not hold an active paid Subscription or the Student plan. Nothing is deleted merely because you move to a free plan.
The licence attached to free plans (Article 8.3 of the Terms of Use) applies only to creations produced while your account is on a free plan. It does not apply retroactively to creations produced while a paid Subscription was active, including if you later move to a free plan.
Retention and deletion of creations on closure of the Account are governed by Article 13 of the Terms of Use.
8. Our commitments on the service
We undertake to supply a service that conforms to the description published on cygon.tech and to these terms, and to provide, throughout the period of supply, the updates, including security updates, necessary to keep it in conformity.
If the service does not conform, you may ask us to bring it into conformity, free of charge and without undue delay. If we cannot do so, or cannot do so within a reasonable time or without significant inconvenience to you, you may obtain an appropriate reduction in price or terminate the Subscription with a refund of the portion corresponding to the period during which the service was not in conformity. To make a claim under this Article, write to support@cygon.tech.
Availability, maintenance and evolution of the Services are governed by Article 12 of the Terms of Use.
9. Liability and force majeure
The provisions on liability (Article 14 of the Terms of Use) and on force majeure (Article 15 of the Terms of Use) apply to these Terms of Sale. Nothing in these Terms of Sale excludes or limits our liability for death or personal injury, or for fraud, gross negligence or wilful misconduct.
10. Your statutory rights
Depending on where you live, the law may give you rights that these Terms of Sale cannot reduce or exclude, in particular rights to cancel, to withdraw, to a refund or to a conformity remedy. Nothing in these Terms of Sale, in our Refund Policy or in our Terms of Use limits or replaces those rights. Where the law of your country of residence gives you more than these documents give you, the higher level of protection applies.
Because Paddle is the merchant of record for your purchase, statutory rights arising from the sale itself, including any statutory right of withdrawal, are exercised in relation to Paddle and are described in Paddle's Buyer Terms and Paddle Refund Policy. You can exercise them at paddle.net, or write to us at support@cygon.tech and we will pass your request on and support it.
11. Support and complaints
For any question or complaint about your Subscription (billing, discounts, payment, cancellation, refund), write to support@cygon.tech. We acknowledge receipt and aim to answer as quickly as possible.
Because Paddle is the merchant of record, requests concerning payments, invoices and refunds can also be sent directly to Paddle at paddle.net, which handles them on our behalf.
12. Governing law and disputes
These Terms of Sale are governed by French law, without prejudice to any mandatory protection you enjoy under the law of your country of residence.
We will always try to resolve a dispute amicably first: write to support@cygon.tech. Failing an amicable settlement, the French courts have jurisdiction, without prejudice to your right, where you are a consumer, to bring proceedings before the courts of your place of domicile where the applicable rules so allow.
Your purchase from Paddle is separately governed by Paddle's Buyer Terms, which contain their own rules on governing law and disputes.
13. Severability and no waiver
If any provision of these Terms of Sale is held to be void or unenforceable, the remaining provisions retain full effect. Our failure to rely on a breach does not amount to a waiver of our right to rely on it later.
